Terms of Service

1. Agreement

These Terms govern your use of the FormSignature electronic-signature service at formsignature.co (the “Service”). By creating an account, sending a document, or signing a document through the Service you agree to these Terms and to our Privacy Policy. If you use the Service on behalf of a company, you represent that you have authority to bind it.

2. The Service

FormSignature lets you upload documents, place signature and data fields, send them to recipients, collect electronic signatures, and store the completed documents with an audit trail. We provide the tools; you are responsible for the content of your documents, for choosing who receives them, and for deciding whether an electronic signature is appropriate for a given document or jurisdiction.

3. Electronic signatures

Electronic signatures collected through the Service are intended to comply with the U.S. Electronic Signatures in Global and National Commerce Act (ESIGN), the Uniform Electronic Transactions Act (UETA) and the EU eIDAS regulation for simple electronic signatures. Some documents (for example wills, certain family-law and court documents, and documents requiring notarisation) may be excluded from electronic execution under applicable law. We do not provide legal advice; consult counsel if you are unsure.

4. Accounts

You must provide accurate information and keep your sign-in credentials confidential. You are responsible for all activity under your account. Notify us promptly at support@formsignature.co if you suspect unauthorised use.

5. Plans, trials and billing

The Free plan includes a limited number of documents per month. Paid plans are billed monthly or yearly in advance and renew automatically until cancelled. Trials convert to the Free plan at the end of the trial period unless you choose a paid plan. You may cancel at any time from your account settings; fees already paid are non-refundable except where required by law. We may change prices with at least 30 days’ notice, effective at your next renewal.

6. Acceptable use

You agree not to use the Service to send unlawful, fraudulent, defamatory or infringing content; to impersonate any person; to send documents to people who have not agreed to receive them from you; to attempt to access other customers’ data; to overload or interfere with the Service; or to resell it without our written consent. We may suspend or terminate accounts that violate these Terms.

7. Your content

You retain all rights to the documents you upload. You grant us a limited licence to host, process, transmit and display them solely to provide the Service to you and the parties you designate. We will not sell your content or use it to train machine-learning models.

8. Signers

Recipients who sign a document through the Service (“Signers”) do not need an account. By signing, a Signer consents to conduct that transaction electronically and agrees to these Terms in relation to their use of the signing session. Signers receive a copy of the completed document.

9. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. We may perform maintenance, and we may modify or discontinue features with reasonable notice. Support is available by email; response targets depend on your plan.

10. Intellectual property

The Service, including its software, design and trademarks, is owned by FormSignature and its licensors and is protected by intellectual-property law. These Terms do not grant you any rights in the Service except the limited right to use it in accordance with these Terms.

11. Disclaimers

The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that any document signed through the Service will be enforceable in every jurisdiction or for every purpose.

12. Limitation of liability

To the fullest extent permitted by law, FormSignature will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose, or one hundred U.S. dollars if you paid nothing.

13. Indemnity

You will defend and indemnify FormSignature against claims arising from your content, your use of the Service, or your breach of these Terms.

14. Termination

You may close your account at any time. We may suspend or terminate your access for breach of these Terms, for non-payment, or if required by law. After termination you may export your completed documents for a reasonable period, after which we may delete them in accordance with our Privacy Policy.

15. Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in New York County, New York, and you consent to their jurisdiction.

16. Changes

We may update these Terms. We will post the updated version here and notify you of material changes by email or in the Service. Continued use after the effective date constitutes acceptance.
